Microsoft's deal to buy Yahoo! is confirmed dead, finally. The latter confirmed this after the meeting held on June 8 between Microsoft representatives and Yahoo! Chairman Roy Bostock along with other independent Yahoo! Board members.

Besides, Yahoo! and Google have today announced a non-exclusive advertising agreement where in Yahoo! will be provided access to Google's AdSense for search and content advertising programs in U.S. and Canada regions. From this deal, revenues of $800 millions a year and operating cash flow of $250 million to $450 million is expected to show up in Yahoo's account. And thus, the search market competition between Microsoft, Google, and Yahoo! continues to spur with the Web.


In reference to the Microsoft-Yahoo! talks, Yahoo! has said that Microsoft representatives shown no interest in pursuing an acquisition Yahoo! entirely, even at the previously suggested price range.

Microsoft's original bid of $33 per share offer to take-over Yahoo! entirely was reiterated to $47.5 billion. To that, Yahoo!'s CEO, Jerry Yang and the company's board of directors proposed that Yahoo!'s worth was more than the bid value. Then, Microsoft came up with 'alternative transaction' offer.

Microsoft's alternative transaction proposal consisted of acquiring of Yahoo!'s search business only. Along with that, Microsoft showed willingness to buy Yahoo!'s 16 per cent stake at $35 per share. This offer was closely evaluated and refused by the Yahoo!'s board of directors. Reason was simple -- Yahoo!'s strategic future would appear skeptical and dark without the search business. But this time, it was Yahoo! who wanted Microsoft to purchase entire company.

Microsoft's Yahoo! take over could've brought them couple of plus points. These include blending Yahoo! IM and email popularity with Microsofts', using Yahoo!'s revamped search marketing technology, and most importantly, enjoying the second place in the search market, after Google, where MSN ranks third.

From the Google deal, Yahoo! aims to recover the damage of share price drop caused due to prolonged take-over talks. Yahoo's only concern now is, retaining the prominent top management employees who're resigning one after another.
